Effective date: 31 October, 2023
This DAO Validator Agreement (the “Agreement”) governs the rights, duties, responsibilities, and liability of any individual or legal entity applying to act or acting as a DAO Validator for the 77.lt project operated on the cross.social platform.
By completing the DAO Validator registration process and selecting the confirmation checkbox during registration, the applicant confirms that they have read, understood, and agreed to this Agreement in full. Such confirmation shall constitute a legally binding electronic acceptance of this Agreement.
1. Parties
This Agreement is entered into between:
Multiverse LTD, Reg. No. 112580, Marshall Islands, acting solely as the technology provider, platform operator, and infrastructure administrator of cross.social and related systems;
and
the applicant identified in the DAO Validator registration form (the “Validator”), acting either in their personal capacity or on behalf of the legal entity specified during registration.
2. Nature of the Validator Role
The Validator acts as an independent DAO participant and, where applicable, as a regional or jurisdiction-specific validator responsible for community moderation, content validation, governance participation, and related operational actions within the scope assigned or assumed by the Validator.
The Validator is not an employee, agent, representative, partner, or legal proxy of Multiverse LTD unless expressly agreed in a separate written instrument signed by authorized representatives of both parties.
3. Scope of Activities
The Validator may, depending on the structure and needs of the platform, review, moderate, validate, prioritize, flag, restrict, remove, recommend, or otherwise assess user-generated content and may participate in governance decisions, voting procedures, policy implementation, and community support functions.
The Validator may also, where publicly disclosed and legally permitted, support the sustainability of the platform by assisting in the organization, coordination, or collection of financial support, donations, or other lawful contributions for the project in the Validator’s jurisdiction or other markets.
4. Independent Responsibility
The Validator acknowledges and agrees that all moderation, validation, governance, editorial, recommendation, restriction, removal, approval, escalation, or similar decisions taken by the Validator are made independently and at the Validator’s own responsibility.
The Validator assumes full responsibility for ensuring that their actions, decisions, publications, approvals, communications, and conduct comply with all laws, regulations, administrative requirements, and applicable legal standards in the jurisdictions where the Validator operates or where the Validator’s actions produce legal effect.
5. Content Responsibility
The Validator acknowledges that the 77.lt project and cross.social platform may host content created and uploaded by independent users, authors, contributors, and community participants.
Each user remains solely responsible for the content they create, upload, publish, distribute, or otherwise make available through the platform.
However, to the extent that the Validator reviews, validates, approves, promotes, prioritizes, curates, restricts, suppresses, or removes content in a given jurisdiction or segment, the Validator assumes responsibility for such moderation and validation actions and for their legal consequences under applicable law.
6. Multiverse LTD Role and Limitation of Responsibility
Multiverse LTD acts solely as a technology provider, infrastructure administrator, and platform operator. Multiverse LTD provides technical systems, hosting environment, digital tools, and platform functionality for the operation of the project.
Multiverse LTD does not automatically create, edit, validate, moderate, approve, endorse, or control user-generated content or validator-generated decisions solely by virtue of operating the platform infrastructure.
Accordingly, the Validator agrees that Multiverse LTD shall not be responsible for the legality, accuracy, completeness, lawfulness, reliability, or consequences of any content published by users, authors, contributors, or Validators, nor for moderation or governance decisions independently made by Validators, except to the extent such liability cannot be excluded under mandatory law.
7. Compliance with Laws
The Validator shall at all times comply with applicable civil, administrative, consumer, media, data protection, defamation, electoral, advertising, intellectual property, public information, and any other relevant legal requirements applicable in the relevant jurisdiction.
If the Validator operates through a legal entity, the Validator represents and warrants that such entity is duly established, validly existing, and authorized to undertake the activities contemplated by this Agreement.
8. Authority and Representations
By registering, the Validator represents and warrants that: (a) all information submitted during registration is true, accurate, and not misleading; (b) the person completing the registration is duly authorized to act on behalf of the identified person or entity; (c) the Validator has the legal capacity to enter into this Agreement; and (d) the Validator will not use the platform or validator status for unlawful, fraudulent, misleading, or abusive purposes.
9. Indemnity
The Validator agrees to defend, indemnify, and hold harmless Multiverse LTD, its affiliates, officers, service providers, and technical partners from and against any claims, complaints, proceedings, damages, penalties, liabilities, losses, costs, and expenses, including reasonable legal expenses, arising out of or related to: the Validator’s actions or omissions; breach of this Agreement; violation of applicable law; infringement of third-party rights; or moderation, governance, funding, publication, or validation activities carried out by the Validator.
10. Evidence and Electronic Records
The Validator agrees that electronic records generated in connection with registration, platform access, moderation actions, governance participation, internal actions, consent logs, timestamps, IP logs, account activity logs, acceptance logs, system records, and related digital evidence may be stored and relied upon as proof of the Validator’s acceptance of this Agreement, role, authority, activity, and responsibility.
The Validator further agrees that acceptance by checkbox during registration constitutes valid electronic consent and may be used as evidence in court, arbitration, administrative proceedings, or other legal processes, subject to applicable law.
11. Public Disclosure
The Validator acknowledges and agrees that the platform may publicly identify the Validator, including the Validator’s legal name, jurisdiction, and functional role, where such disclosure is reasonably necessary for transparency, compliance, community governance, legal defense, or informational purposes.
12. No Assignment of Ownership
This Agreement does not transfer ownership of the platform, infrastructure, software, domain names, databases, trademarks, social profiles, digital assets, or related systems to the Validator unless such transfer is expressly made under a separate written instrument.
The Validator’s role is functional and governance-related only and does not by itself create proprietary rights over the platform or its underlying infrastructure.
13. Term and Termination
This Agreement becomes effective upon electronic acceptance during registration and remains in force until the Validator’s role is terminated, suspended, withdrawn, or otherwise ended by the Validator, by governance process, or by Multiverse LTD for legal, operational, compliance, reputational, or security reasons.
Termination of the Validator role shall not eliminate or reduce responsibility for actions, decisions, publications, or obligations arising before termination.
14. Governing Principles of Interpretation
This Agreement shall be interpreted in a manner consistent with the decentralized and community-based nature of the project, while preserving the clear allocation of operational and legal responsibility to the person or entity actually performing validator functions in the relevant jurisdiction.
15. Severability
If any provision of this Agreement is found invalid, unenforceable, or ineffective, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
16. Entire Agreement
This Agreement, together with the applicable Terms of Use, Liability Policy, Privacy Policy, and any clearly referenced governance rules published on the platform, constitutes the entire agreement governing the Validator’s role unless replaced or supplemented by a separate written agreement.
17. Acceptance
By selecting the checkbox during DAO Validator registration and submitting the registration form, the applicant confirms that they have read and accepted this Agreement, that they are authorized to bind themselves or the entity they represent, and that they understand and accept the allocation of responsibility described herein.
